Terms and Conditions of Enrollment
IntelliX Educational Services (The Centre)
Effective Date: November 11, 2025
These Terms and Conditions (“Agreement”) constitute a legally binding contract between IntelliX Educational Services (“The Centre”, “We”, “Us”, or “Our”) and the parent(s) or legal guardian(s) (“Client” or “You”) of the registered student (“Student”).
By executing a Registration Form or making any payment for Services, the Client acknowledges having read, understood, and agreed to be bound by this entire Agreement.
1. Enrollment, Acceptance, and Parties
1.1. Parties to the Agreement
The Centre: IntelliX Educational Services.
Client: The parent(s) or legal guardian(s) who signs this Agreement and is financially and legally responsible for the Student.
Student: The minor child, aged 3 to 18 years, enrolled in the Centre's programs.
1.2. Capacity to Contract (Minors)
The Client warrants that they are the legal parent or guardian of the Student, are over the age of majority in their jurisdiction (i.e., 18 years old in Ontario, Canada), and have the full legal capacity and authority to enter into this Agreement on behalf of the Student. The Client accepts full responsibility for the Student's compliance with these Terms.
1.3. Acceptance of Enrollment
Enrollment is complete and the contract is formed only upon the Centre's written acceptance of the Client's Registration Form and receipt of the non-refundable Registration Fee. The Centre reserves the right to accept or reject any application for enrollment at its sole discretion.
2. Program Structure and Scope of Services
2.1. Description of Services (Programs)
The Centre agrees to provide academic and cognitive tutoring services as selected by the Client on the Registration Form (e.g., High School Math/Science, UCMAS, I-Maths, OBOTZ).
2.2. Location of Services
Services will be provided either In-Person at the Centre's facilities or Online via a specified virtual platform, as selected by the Client. Specific terms for Online Learning are detailed in Section 3.
2.3. No Guarantee of Academic Result (Disclaimer)
The Client acknowledges that the Centre is a provider of supplementary educational support. No guarantees, warranties, or assurances are made regarding the Student's final academic grades, exam scores, or long-term scholastic outcomes. Results depend on the Student’s effort, home support, and other external factors.
2.4. Tutor Status
Tutors employed or contracted by the Centre are acting as independent contractors or employees of the Centre, and not as the Client's agents or employees. The Centre manages the selection, training, and scheduling of all Tutors.
3. Fees, Payment, and Financial Policy
3.1. Fee Schedule and Payment
- Tuition: The Client agrees to pay the Program Tuition Fee, as specified in the Centre's current Fee Schedule, which is subject to change with 30 days’ written notice.
- Registration Fee: A one-time, non-refundable Registration Fee of $50 is due upon initial enrollment.
- Payment Due Date: Fees are due in full, in advance, by the 1st of the month/term.
3.2. Late Payment and Service Suspension
A late fee of 5% may be applied to payments outstanding for more than 7 days. The Centre reserves the right to immediately suspend the Student's participation in all Services if fees remain outstanding for 15 days after the due date, without prejudice to any other rights or remedies.
3.3. Materials and Examination Fees
Fees for specialized program materials, external examination registration (e.g., UCMAS exams), or software access are not included in the Tuition Fee and will be invoiced separately.
3.4. Refund Policy
Pre-paid Fees (excluding Registration Fee): If this Agreement is terminated by the Client with proper notice (Section 11.1), the Client may be entitled to a partial refund of any unused pre-paid tuition for sessions not yet delivered, calculated on a pro-rata basis, less any administrative or penalty charges.
Packages/Block Bookings: Payments for course packages or blocks of sessions are discounted and, therefore, may be subject to different refund terms as specified in the addendum for that specific package.
No Refund for Missed Sessions: There are no refunds for sessions missed by the Student due to illness, travel, or non-compliance with the cancellation policy.
4. Scheduling and Attendance Policy
4.1. Client Cancellation (Student Absence)
The Client must provide a minimum of 24 hours' written notice to the Centre to cancel or reschedule a session.
- With Proper Notice: The Centre will offer one make-up session per month, subject to tutor availability and to be used within 30 days.
- Without Proper Notice (No-Show): The session will be charged at the full rate, and no make-up session or credit will be provided.
4.2. Centre/Tutor Cancellation
If the Centre or the assigned Tutor must cancel a session, the Client will be notified as soon as possible, and the session will be rescheduled at no extra charge or a full credit/refund will be applied for the missed session.
4.3. Student Late Arrival
The session will start and end at the scheduled time. The Centre is not obligated to extend the session due to the Student’s late arrival, and the full session fee will be charged.
5. Specific Terms for Online Learning
5.1. Client Responsibilities (Online)
The Client is responsible for providing the Student with a reliable internet connection, a functioning computer/device, and a quiet, suitable learning environment for all online sessions.
5.2. Supervision (Online)
The Client must ensure that an appropriate adult is present or available on the premises to supervise the minor Student (especially for younger students) during the entire online session and to handle any technical or behavioral issues promptly.
5.3. Recording Policy
For quality assurance and safety, the Centre may record online sessions. By enrolling, the Client consents to the recording of their Student’s participation. Recording by Client/Student is strictly prohibited without the express prior written consent of the Centre and all other participants. Breach of this clause is grounds for immediate termination.
6. Student Conduct and Centre Environment
6.1. Code of Conduct
The Student must adhere to a code of conduct that requires respectful, non-disruptive behavior toward Tutors, staff, and other students.
6.2. Disciplinary Action
The Centre reserves the right to immediately suspend or terminate the enrollment of a Student whose conduct, or the conduct of the Client, is abusive, threatening, or excessively disruptive. In such cases, no refund will be issued for remaining sessions.
6.3. In-Person Safety (Drop-off/Pick-up)
The Client is responsible for the timely drop-off and pick-up of the Student. For Students under the age of 8 the Student must be signed in and out by the designated responsible adult. The Centre is not liable for the safety or supervision of the Student outside of the scheduled session time or once the Student has been signed out.
7. Medical Conditions and Special Needs
7.1. Mandatory Disclosure
The Client must disclose in writing on the Registration Form any known medical conditions, allergies, disabilities, or special educational needs (SEN) of the Student that may impact their learning or require accommodation.
7.2. Accommodation
The Centre will make reasonable efforts to accommodate the Student’s needs based on the disclosed information. However, the Client acknowledges that the Centre is a tutoring service and may not be equipped to provide the level of specialized instruction or care required by public or specialized schools. The Centre reserves the right to recommend alternative educational support if the Student's needs cannot be reasonably met.
7.3. Emergency Medical Consent
In the event of a medical emergency, and if the Client cannot be immediately reached, the Client grants permission to the Centre staff to secure and authorize necessary emergency medical treatment for the Student, including calling an ambulance. The Client is responsible for all costs associated with such emergency treatment.
8. Data Privacy and Confidentiality
8.1. Personal Information
The Centre is committed to protecting the Client's and Student's personal information in accordance with applicable provincial and federal privacy legislation (e.g., PIPEDA in Canada).
8.2. Confidentiality
The Centre will keep confidential all academic and personal information concerning the Student, only disclosing it to relevant Centre staff, the Client, or as required by law.
8.3. Student Work
The Client grants the Centre the right to use the Student's non-identifiable work samples (e.g., math sheets, test scores) for internal quality assurance, training, and program development purposes.
9. Intellectual Property (IP)
9.1. Ownership of Content
All proprietary teaching methods, curricula, educational materials, including but not limited to UCMAS, I-Maths, and OBOTZ programs, manuals, handouts, and digital content (collectively, the "Content") provided by the Centre, are the sole and exclusive intellectual property of IntelliX Educational Services or its licensors.
9.2. Permitted Use
The Client and Student are granted a non-transferable, limited license to use the Content solely for the Student's personal educational advancement while enrolled.
9.3. Prohibition on Reproduction
The Client and Student are expressly prohibited from copying, reproducing, distributing, modifying, or commercially exploiting the Content in any form, including sharing it with individuals outside the Centre.
10. Limitation of Liability and Indemnification
10.1. Limitation of Liability
The Centre, its directors, employees, and agents shall not be liable for any indirect, special, incidental, or consequential damages (including, without limitation, loss of profits or academic opportunity) arising from the use of the Services. In any event, the Centre's total liability under this Agreement shall not exceed the total fees paid by the Client to the Centre during the three (3) months immediately preceding the event giving rise to the claim.
10.2. Indemnification
The Client agrees to indemnify, defend, and hold harmless the Centre from and against any and all claims, demands, liabilities, or expenses (including legal fees) arising from the Student's conduct, the Client’s breach of this Agreement, or any injury to the Student not directly resulting from the Centre's gross negligence or willful misconduct.
10.3. Personal Property
The Centre is not responsible for the loss, damage, or theft of any personal property (including electronics, school books, or cash) brought onto the premises or used during online sessions.
11. Term, Termination, and Governing Law
11.1. Termination by Client
The Client may terminate this Agreement by providing thirty (30) days' written notice to the Centre. The Client is liable for all fees incurred up to the end of the 30-day notice period.
11.2. Termination by Centre
The Centre may terminate this Agreement immediately upon written notice for any of the following reasons:
- Non-payment of fees.
- Breach of the Student Conduct or Intellectual Property clauses.
- Behavior by the Client or Student that creates an unsafe or hostile environment.
11.3. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Burlington, Ontario.
11.4. Entire Agreement
This document, along with the completed Registration Form and any attached Addendums, constitutes the entire agreement between the parties and supersedes all prior agreements, representations, and understandings, whether written or verbal.
12. Media and Publicity Consent (Optional but Recommended)
12.1. Media Release
The Client [Initial Here: YES / NO] grants the Centre permission to use photographs, videos, testimonials, and/or sound recordings of the Student and/or the Student's work (without personal identification such as last name or address) for promotional, marketing, and instructional purposes in print, online, and on social media. If "NO" is initialed, the Centre will make reasonable efforts to exclude the Student from any promotional media.
